1. Upon receipt of the LOI, Seller sends a Full Corporate Offer including the terms.  After approval by the Buyer, Seller sends a Supply and Purchase Agreement (SPA) to the Buyer.
2. Buyer reviews the SPA, signs and sends it back to the Seller.
3. Upon signing the (SPA) which is the Contract Agreement, the Buyer shall visit the Seller in Zambia and inspect the full cargo.  The Buyer may elect SGS to do it on its behalf (our preference is for the Buyer to be present while inspection is going on).
4. Upon SGS inspection , Buyer arranges for logistics and advances ten percent (*0%) payment, which will cover transportation from Zambia to Dar es Salaam Port, Tanzania.

5. A second percentage (*0%) will be paid by the Buyer at the Port of Loading upon presentation of the Bill of Lading / after loading on vessel.
6. *0,**0 MT of the product will be shipped.  On arrival of the *0,**0 MT at the  Buyers nominated port of destination, assay report will be conducted by SGS or other recognized testing facilities and shared between among both parties within *4hrs and balance of payment (*0%) will be made payable to Sellers account deducting all previously paid percentages to Seller.
7. Once the first consignment is completed the Seller will then deliver *0,**0 MT metric tons each month directly to Buyers final destination on Sellers account.

NOTE: The goods shall be otherwise free of constituents deleterious and radicalized to the testing process. If the Cu content is below *9.*9%, the buyer has the right to reject the goods or renegotiate the price.
